I know iTunes seems to be perfect for most People, but for me it is just an slow Piece of Software which supports more the Marketing Needs of Apple and Apples ITMS than the User.
What I miss on the Apple Market today is an independent MP3 Suite which does: NOT depend on the Quicktime Libraries, does NOT want to "manage" any of my files, is independent to any Music Store and Marketing Systems, Provides an Lame Encoder, supports OGG, is fast and takes the Focus Back to Music instead of a Million unused Features...
I know I may be a bit Oldschool with my needs but I really miss the Days when there was a competetive Audion and MusicMatchJB,...

Tried VLC? It would seem to meet your requirements except for LAME encoding (it is only a player). For encoding, Max is a useful freeware option.I too often find that all the resource-hogging eye candy in iTunes gets in my way.

Slimserver. You don't have to run it thru a Squeezebox - it can easily be used as an Itunes replacement (runs in web browser) and handles all file types.Just point it at your music files directory.
