If anyone comes up with an error message saying "Please quit iCal before beginning this update" make sure you quit all types of apps/dock/menu items that can access iCal's database. I was running MenuCalendarClock and Software Update wouldn't let me start the update until I quit MenuCalendarClock.
So keep an eye out for this problem in other apps like when updating Address Book and the like.
It had me stumped for a few minutes there...
